You acknowledge and agree that due to the unique nature of the Confidential Information, there can be no adequate remedy at law for any breach of your obligations hereunder, that any such breach may allow one party or third parties to unfairly compete with USOBA resulting in irreparable harm to USOBA and, therefore, that upon any such breach or threat thereof, USOBA shall be entitled to injunctions and other appropriate equitable relief in addition to whatever remedies it may have at law. In addition, if USOBA prevails in any legal dispute hereunder, it shall be entitled to collect its reasonable attorneys' fees and expenses. The sole jurisdiction and venue for actions related to the subject matter hereof shall be the State of Texas and U.S. federal courts having within their jurisdiction the location of USOBA's principal place of business. Each party consents to the jurisdiction of such courts. All obligations under this Section 5 survive for 3 years after termination of the Agreement.

6. You may not assign your login, password or this Agreement to any other party, successor or affiliate without the prior written consent of USOBA.

7. You agree to USOBA's Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT AND UNDER NO LEGAL THEORY SHALL USOBA OR ITS DIRECTORS, OFICERS, EMPLOYEES AND AGENTS BE LIABLE TO YOU FOR ANY COSTS, OR FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE USE OF, OR INABILITY TO USE ANY PORTION OF WWW.USOBA.COM OR MATERIALS, EVEN IF USOBA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL USOBA'S OR ITS SUPPLIERS' LIABILITY EXCEED THE MEMBERSHIP FEE PAID BY YOU.

8. You agree that USOBA may immediately terminate your session or this Agreement at any time without notice if USOBA reasonably believes that you have failed to comply with any term or condition of this Agreement.

9. You understand that, from time to time, USOBA may change the terms and conditions of this Agreement. Your continued use of www.USOBA.com will indicate your agreement to such changes.
